TERMS AND CONDITIONS:

SHIPPING:
Shipments are freight prepaid via Spherotech preferred carrier. Shipping, handling and insurance charges are prepaid by Spherotech and added to customer invoice. The handling charges per order are ~$5.00 for domestic shipping and ~15.00 for international shipping.

PRICES & PAYMENT:
The listed prices are FOB Libertyville, Illinois. Payment is net 30 days. A late payment charge of 1.5% will be added after due date. Purchase subject to credit approval. Prices and products specification subject to change without notice.

RETURNS:
Claims for lost or damaged products are the responsibility of the purchaser and should be reported to the appropriate carrier within five days of receipt and confirmed in writing. Please contact Spherotech for authorzation prior to returning material for any reason.

WARRANTY AND LIMITATION REMEDY
Spherotech, Inc. makes no warranty of any kind, expressed or implied, including any warranty of merchant-ability or fitness for any particular purpose, except that the products sold by it will meet our specifications at the time of delivery. Buyer's exclusive remedy and Spherotech's sole liability hereunder shall be limited to, at Spherotech's option, refund of purchase price of, or the replacement of, all material(s) that does not meet our specification. By acceptance of the product, Buyer indemnifies and holds Spherotech harmless against, and assumes all liability for the consequence of its uses or misuses by the Buyer, its employees or others, including but not limited to, the costs of handling. Said refund or replacement is conditioned on Buyer notifying Spherotech within thirty (30) days of receipt of product. Failure of Buyer to give said notice within said thirty (30) days shall constitute a waiver by the Buyer of all claims hereunder with respect to said material(s).

Inquiries for custom prepared particles or labeled particles should be directed to technical services manager.

RESERVATION OF TITLE:
All products remain the property of Spherotech until full payment is received by Spherotech.

All products are for research use only and are not intended for use in humans or in vitro diagnostic use. No license for any use is expressed or implied.
